Tilda Experts Terms of Use

Tilda Experts service provides an opportunity to find a designer to create a website on Tilda.

The Tilda Experts Terms of Use (hereinafter referred to as the Terms) are an integral part of the Terms of Service (hereinafter referred to as the Agreement). If the service is used by individuals who are not registered users of the platform, acceptance of these Terms also constitutes acceptance of the Agreement.

Please review the document carefully before using Tilda Experts. By using the service, you acknowledge and agree to be bound by these Terms.
Terms and Definitions
Service — a Tilda Experts service that provides Experts and Clients with an opportunity for initial interaction regarding the creation/modification of Websites on the Platform in the manner prescribed by these Terms.
User — a person using the Service. Within the Terms, the term “User” may refer to either an Expert or a Client.
Expert — a User who has posted a Portfolio on the Service and provides services for the development and/or refinement of Websites on the Platform.
Client - a User who has posted a Brief on the Service, as well as any other person who has sent a request to an Expert through the web form available in the Portfolio.
Brief — a task for an Expert to develop and/or refine a Website on the Platform, posted by the Client on the Platform in the form established by the Administration.
Portfolio — a list of the Expert’s works, posted on the Service for informational purposes to confirm the Expert’s competencies.
Designer ID — a unique code assigned to the Expert when creating the Portfolio.
Parties — Users and Administration when mentioned together.

Other terms and definitions are used in the Terms with the same meaning as in the current Agreement.
1. General Provisions
1.1. Service Description. The Service is an information resource through which the Expert can publish a Portfolio on the Internet, and the Client can view the Portfolios of various Experts and post a Brief to search for an Expert or contact a specific Expert directly through a web form located in the Portfolio.

Briefs can be automatically provided by the Service to Experts whose profiles match the Brief’s conditions.

1.2. Rights of the Administration. The Administration may:
1) verify the information provided when posting a Portfolio and/or Brief;
2) make changes and additions to forms, questionnaires, and other materials posted on the Service;
3) at its own discretion suspend, restrict or terminate access to the Service with or without prior notice;
4) delete any information posted through the Service in violation of applicable law, the rights of third parties and/or the provisions of the Agreement.
2. Expert’s Portfolio
2.1. Portfolio Placement. To place a Portfolio, the Expert must fill out a form in the Account thereof on the Platform. The more accurately the information in the form (description, working conditions, cost) is specified, the more relevant Briefs can be offered by the Service.

By posting a Portfolio on the Service, the Expert confirms and guarantees that:
1) they have the necessary competencies to develop and/or refine the Websites on the Platform;
2) they are the author of the Websites posted on the Portfolio;
3) the Websites do not violate the law, the rights and legitimate interests of third parties, or the terms of the Agreement;
4) in the event that the rights to the Website created by the Expert have been transferred (alienated) to a third party, the Expert has received the consent of such third party to use the Website in the Portfolio.

2.2. Using a Designer ID. When creating a Portfolio, the Expert is assigned a Designer ID. By specifying the Designer ID in the Website settings, the corresponding Website is automatically added to the Expert’s Portfolio.

The Expert acknowledges that after transferring the created Website to the Client, the Client shall have the right to change the Website settings, including deleting the Designer ID. Saving the Designer ID in the Website settings is discussed between the Client and the Expert without involving the Administration.

2.3. Made on Tilda Gallery. The Administration may post Websites published by the Expert in the Portfolio in the Made on Tilda gallery, with a link to the Expert’s Portfolio. The selection of Websites for inclusion in this section shall be made by the Administration at its sole discretion.
3. Submitting Requests to Experts
3.1. Interaction with an Expert. The Client may submit a request for the development and/or refinement of the Website:
1) directly to the Expert using the web-form in the Portfolio;
2) or by filling out the Brief form in the Service.

The Client guarantees that the request for the development and/or refinement of the Website on the Platform does not violate the rights and legitimate interests of third parties, including intellectual property rights, or the requirements of the applicable law.

3.2. Completing the Brief Form. The Brief is completed by the Client using the form established by the Administration. The Administration recommends providing detailed information about the task and the required services for Website development/refinement in the Brief.

The Administration reserves the right to refuse publication of a Brief on the Service if the Brief:
1) does not contain the information necessary to provide services for Website development/refinement on the Platform;
2) contains conditions that cannot be met by Experts due to a lack of technical or other capabilities;
3) implies the creation of a Website outside the Platform;
4) indicates that the Website Content would violate the terms of the Agreement;
5) contains insults or other information prohibited from being posted on the Platform.

After completing the form, the Service sends the Brief to Experts with an appropriate profile. Briefs that meet the Expert’s criteria are posted in the “Incoming Briefs” section of the Expert’s profile.

The Expert has the right to respond or not to respond to the Client’s Brief. If several Experts respond to the Brief, the Client has the right to select an Expert at his/her own discretion.
4. Relationship between the Client and the Expert
4.1. Parties to the Relationship Regarding the Website Creation. Relationships regarding the development/refinement of Websites using the Service arise exclusively between the Client and the Expert. The Administration is not a party to such relationships, does not participate in settlements between them, is not an intermediary/agent for the Client or the Expert, and is not the Expert’s employer.

The Client and the Expert are independently responsible to each other for the performance of their obligations regarding the development/refinement of the Websites, as well as to third parties for information posted using the Service.

The Client and the Expert agree to act in good faith in the performance of their obligations regarding the development/refinement of the Website, and to adhere to business ethics standards.

4.2. Role of the Administration and No Guarantees. The role of the Administration is exclusively to provide the Service.

The Client’s posting of a Brief on the Service does not constitute acceptance by the Administration of the order for Website development/refinement, nor does the Administration assign the Experts to complete Briefs.

The Administration does not guarantee the completion of the Client’s Brief and/or the quality of its completion, nor does it guarantee that the Expert will receive Briefs or requests through the Portfolio web form.

The Administration does not guarantee the accuracy and reliability of the information provided when using the Service.

4.3. Dispute Resolution. Any disputes between the Client and the Expert related to the creation of Websites, as well as settlements between the Client and the Expert, are resolved directly between the Client and the Expert. The Administration does not consider or resolve disputes and conflicts arising between Clients and Experts, but may, at its discretion, assist in their resolution.

4.4. Contract Forms Provided by the Administration. The Administration posts templates of service agreements on the Service, which may be used by the Client and the Expert at their discretion. However, these templates are for informational purposes only and are not recommended or mandatory for use by the Client and the Expert.
5. Limitation of the Administration’s Liability
The Administration is not responsible for any actions/inactions of the Expert or the Client, for the quality of the Brief’s completion, or for the results of the interaction between the Client and the Expert.

The Administration is not responsible for the content of the Brief or Portfolio, or any other materials or information posted. Among other things, Clients and Experts shall exercise caution when using information posted on the Service. Accessing hyperlinks posted on the Service is at your own risk.
6. Personal Data Processing
The Administration processes the personal data of Users and other persons using the functionality of the Service in accordance with the Privacy Policy.
