Sublicense Agreement for the Use

of Depositphotos Files

This sublicense agreement (hereinafter referred to as "Agreement") governs the terms and conditions under which the Administration of the Tilda Publishing Platform ( https://tilda.cc ) (hereinafter referred to as the "Licensee") provides access to Depositphotos Inc. (https://depositphotos.com) (hereinafter referred to as "Files") to its customers (hereinafter referred to as the "Platform User" or the "Sublicensee").

The Licensee hereby grants the Platform User the opportunity to select for further royalty-free use the Files available on https://tilda.cc, namely in the User's personal account in the "Image Library" section, the "Depositphotos" tab, in order to create their own Website (hereinafter, the "Website" means a website created on the Tilda Publishing Platform using the tools provided by the Platform).
1. General Provisions
By downloading and using the Files, the Platform User (Sublicensee) accepts and agrees, without reservation or condition, to all the provisions of the Agreement, as well as the terms of use of the Files as set forth in the links: https://depositphotos.com/license.html and https://depositphotos.com/license-comparison.html (acceptance).
2. Grant of Rights
The Licensee and Depositphotos have entered into a license agreement whereby the Licensee has the right to use the Files under an Extended License with the right to grant sublicenses to Users of the Platform without any limitations on the number of sublicenses. A detailed description of the terms and restrictions of the extended license granted to the Licensee is available at https://depositphotos.com/license.html and https://depositphotos.com/license-comparison.html.

Licensee grants Platform Users a non-exclusive license to use the Files. The non-exclusive license is limited to the "right to use," and nothing in the Agreement implies that the exclusive right to the Files is transferred to the Platform User. The non-exclusive license is granted for the period of validity of the Agreement worldwide.

The Sublicensee understands and agrees that all proprietary and/or non-proprietary copyrights to the Files belong to the Authors of such Files and are not transferred (alienated) to the Sublicensee under this Agreement. The Sublicensee undertakes not to perform any actions that violate or may violate the rights of the Authors to the corresponding Files.

Sublicensee does not acquire copyright and/or intellectual property rights to the Files.
3. Permitted Use
The Platform User may use the Files solely to create his or her own Website on the Platform.
4. Prohibited Use
By downloading and using the Files, the Sublicensee agrees to the prohibitions and restrictions on use as set forth in the Extended License Terms at https://depositphotos.com/license.html.

For example, Sublicensee may not:
  • transfer, resell, sublicense, rent, lease, donate, or otherwise transfer the File or rights therein to third parties;
  • use the File to create an official logo, company name, trademark, or otherwise register any intellectual property rights in or relating to the Files with any governmental authorities or non-governmental organizations;
  • place the File for free download on a shared drive, service, software, or website for sharing, transferring, or distributing;
  • use the File for spam emails.

Sublicensee may not use the Files to create a work and/or Product that is unlawful, harmful, threatening, defamatory, incites violence against any person or group of persons, or inhumane animal treatment, calls for illegal activities, including explaining the use of explosives and other weapons, violates generally accepted rules of decency and moral and ethical standards, promotes hatred and/or discrimination, as well as contains negative and critical statements regarding religion, politics, race, ethnicity, gender, personal qualities, abilities, sexual orientation and appearance of third parties, contains insults to specific individuals or organizations.


Use of the File falling under the prohibited use shall be deemed an infringement of copyright. The Sublicensee is responsible for all damages resulting from copyright infringement, including any third-party claims. The Licensee reserves the right to revoke the license for the File if it has been used in violation of copyright.
5. Warranties and Liabilities
The Sublicensee declares and warrants that it will flawlessly comply with all license terms of use of the Files provided by this Agreement, and is solely responsible for the use of the Files in violation of the established rules of their use.

The Files are provided on an "as is" basis without warranties of any kind. The Sublicensee assumes all risks associated with the quality of the File and its use.

The Licensee does not guarantee permanent access to the Files and is not responsible for their removal by Depositphotos. Depositphotos Inc. manages its Files collection at its sole discretion and therefore can add or remove any Files at any time. The Licensee shall not be liable for any costs, damages, or losses incurred by the User of the Platform as a result of such actions of Depositphotos Inc. and in general as a result of the use of the File by the Platform User.
